Welcome to Hook. These Terms and Conditions ("Terms") govern your access to and use of the Hook mobile application, website, and related services (collectively, the "Services") operated by Hook Technology LLC ("Hook," "we," "our," or "us").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

2. Eligibility

You must be at least 13 years old to use the Services.

By using the Services, you represent and warrant that:

• You are legally capable of entering into a binding agreement.

• The information you provide is accurate and complete.

• You will comply with all applicable laws and regulations.

3. Accounts

You are responsible for:

By submitting content, you grant Hook a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and use such content solely for operating, improving, and promoting the Services.

You represent and warrant that:

• You own or have the necessary rights to the content.

• The content does not infringe any third-party rights.

• The content complies with applicable laws.

6. Prohibited Conduct

You agree not to:

• Violate any law or regulation.

• Impersonate another person or entity.

• Upload false, misleading, fraudulent, or deceptive content.

• Interfere with the operation of the Services.

• Attempt unauthorized access to systems or accounts.

• Distribute malware, viruses, or harmful code.

• Harass, abuse, or threaten other users.

• Use the Services for unlawful or fraudulent purposes.

We may remove content or suspend accounts that violate these Terms.

7. Intellectual Property

The Services, including software, designs, trademarks, logos, graphics, text, and other content provided by Hook, are owned by Hook Technology LLC or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from any part of the Services.

The Services may integrate with or link to third-party products and services.

Hook is not responsible for:

• Third-party websites or services.

• Third-party content.

• Third-party privacy or security practices.

Your use of third-party services is governed by their respective terms and policies.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT:

• THE SERVICES WILL BE UNINTERRUPTED;

• THE SERVICES WILL BE ERROR-FREE;

• THE SERVICES WILL BE SECURE;

• ANY PROMOTION OR BUSINESS ACTIVITY WILL RESULT IN SALES, REVENUE, OR CUSTOMER ACQUISITION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOK TECHNOLOGY LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

IN NO EVENT SHALL HOOK'S TOTAL LIABILITY EXCEED THE GREATER OF:

• $100 USD; OR

• THE AMOUNT PAID BY YOU TO HOOK DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hook Technology LLC and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses arising from:

• Your use of the Services;

• Your content;

• Your violation of these Terms; or

• Your violation of any law or third-party rights.

12. Termination

We may suspend, restrict, or terminate access to the Services at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Services or other users.

You may stop using the Services at any time.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in the State of New Jersey, except where prohibited by law.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

15. Changes to These Terms

We may modify these Terms from time to time.

Updated Terms will be posted on the Services and become effective upon posting. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
